The Securities & Exchange Commission’s (SEC) deadline for comment letters relative to the NYSE’s amendment to Rule 452 to eliminate broker discretionary voting on the election of directors ended on March 27th. Many of the comment letters urged the SEC to undertake a more holistic review of the overall proxy process.

In an effort to initiate a broader dialog about the next steps that might be considered to improve the proxy process, the NYSE will offer a webcast discussion on this important topic. The webcast will be offered on Tuesday, April 28th from 1:30 pm - 2:30 pm (est). T.K. Kerstetter, President & Chief Executive Officer, Corporate Board Member Magazine will moderate.

  • David Berger, Partner, Wilson Sonsini, Goodrich & Rosati
  • Peter Clapman, President & Chief Executive Officer, Governance for Owners USA
