NYSE Arca Rules 5.3((k)(5)(D) and 5.3(m) require issuers to file the Annual Written Affirmation and Annual CEO Certification — Domestic, respectively, no later than 30 calendar days after the annual shareholder meeting. Further, we require issues to submit Interim Written Affirmations no later than 30 calendar days after the change in the status of a Director(s) independence and/or to a companies’ Board to Directors, Audit Committee and Nominating/Corporate Governance Committee that necessitates the Affirmation.
